•  The Dodd-Frank Wall Street Reform and Consumer Protection Act is said to have been designed to promote financial stability of the United States by improving accountability and transparency in the financial system, to end "too big to fail", to protect the American taxpayer by ending bailouts, to protect consumers from abusive services, and "for other purposes." This CLE will explore various parts of the Act and some of the proposed rules to implement it. In particular, this CLE will explore issues related to hedge fund regulation and reporting, the notion of orderly liquidation and systemic risk, corporate governance and other securities related issues, the regulation of derivatives, and the Volcker Rule.

In response to some of the issues raised, a new law amending several sections of New York’s General Obligations Law became effective September 12, 2010, but is retroactive to September 1, 2009, making the statute and its implementation more user-friendly, although problems still exist. This program will provide an update on the changes that were made to the Power of Attorney Law. Presenters will focus on: updates on revocation, the gift rider, tax aspects of the law, elder law issues, and numerous practical considerations, including requirements for drafting and executing, and the use of out of state and other non-statutory forms, their validity and enforceability.

•  In the last several years the U.S. Department of Justice, the Food and Drug Administration (FDA), and other federal and state agencies have aggressively pursued both criminal and civil cases against drug and device manufacturers engaged in the promotion of their products for uses not approved by the FDA. Since 2007 alone, cases involving the off-label promotion of drugs and devices have resulted in criminal and civil settlements totaling more than $6 billion, and the cases have involved several of the largest pharmaceutical and device companies in the world. This program will provide an overview of recent developments relating to the government's enforcement efforts against off-label promotion. A distinguished faculty from the government and the defense bar will discuss the types of off-label marketing that have been detected in recent government investigations, the defenses that may be available, the increased prospect of strict liability misdemeanor prosecutions of corporate executives, and the exclusion of executives from participation in federal health care programs.
