Given the increasing numbers of companies filing for Chapter 11 and the involvement of attorneys in the issue of post-bankruptcy board selection, this topic has particular relevance. There was a time when creditors becoming equity holders opted to put their own representatives on such boards with greater concern for short-term objectives than long term strategy. Recently there has developed a trend toward independent post-bankruptcy boards that act in a more than ceremonial fashion. This kind of board ultimately plays a critical part in maximizing future shareholder value. How to put such boards in place and the issues, both philosophical and practical, attendant to the recruitment of new directors to serve in those roles is the subject of this timely program featuring participants from the legal and corporate community.
