An expert faculty will examine recent developments in shareholder derivative litigation through an evolving hypothetical. The panel will begin with a discussion of a shareholder’s pre-litigation considerations, and then take up issues regarding demand and demand futility, the special committee process and potential outcomes, including settlements, dismissals and pursuit of the demanded litigation. Using original data compiled from public filings, the panel will also discuss the percentage of special committee cases which end in dismissal, settlement or otherwise. The experienced panel will address recent developments in books and records requests, double derivative cases, the duty to monitor business risk, as opposed to legal risk, in light of In re Citigroup Inc. Shareholder Derivative Litig., the availability and proper scope of discovery in special litigation committee cases, the impact of parallel class, regulatory and criminal litigation and the recent spike in FCPA-related cases in light of increased regulatory activity.
