This program will provide you with a primer on how lawyers should advise small companies on corporate and securities law. The faculty will explain financings (attracting financing, private placements, IPOs), structural issues (business partner and employee issues, stock options and M&A advice), SEC compliance and stock exchange issues (private placements and Reg. D offerings, deregistration, de-listing from stock exchanges, trading on the over-thecounter bulletin board, governance issues) and industry-specific issues (internet startups, social media, healthcare, fashion, finance, etc.) Small companies have a lot of legal issues, and this program will focus on helping attorneys advise them. Certain legal trends in small company industries will also be covered.
