Throughout the past decade, directors and officers of corporations have faced constantly increasing liability. First, the burst of the "dot com" bubble, then the calamities of Enron and Worldcom, closely followed by the "IPO laddering" and "options backdating" cases". Next we had the sub-prime mortgage and credit crisis, and the resulting worldwide recession, followed by the collapse of the Madoff ponzi scheme. Venerable financial services companies have been shuttered, merged into more stable institutions, and/or taken "TARP" money in order to survive. Hundreds of securities lawsuits are pending in the U.S. against corporate directors and officers as a result of these highly publicized situations. Only recently have we begun to see any trends in terms of dismissals, settlements and the development of case precedent on certain key issues related to liability and damages. But it is clear that the financial wherewithal of corporations, and their directors, officers, employees, investors and creditors continue to be at risk. Directors and officers, and corporate liability, insurance products address these exposures and are a key component of any corporation's risk management plan. Our panel of professionals will provide their insights on present and future exposures facing directors and officers, the D&O marketplace, recent legal developments and the impact of coverage defenses on claim resolution.
