Companies are making do with less legal resources, and attorneys must broaden their skills and take responsibility for new subject areas to stay competitive. This program is designed for all attorneys and will broaden and sharpen corporate and securities law skills. The program is designed as a "how-to" instructional guide on key aspects of corporate and securities law. Speakers include lawyers from outside firms, in-house counsel, and financial services companies who will discuss practical ways to comply with the new regulations in the securities, corporate, and mergers and acquisition areas. The program will include helpful SEC and other regulatory interpretive guidance. Who should attend? Lawyers who need to deliver more legal work for less and need efficient reference points to get started producing documents that are not necessarily in their practice sweet spot. Other topics will include: Private equity fund formation agreements, negotiating and drafting selected provisions; annotated Form S-1 registration statement and underwriting agreements; drafting and disclosure skills tips, as well as selected SEC rules; the key provisions of Forms 10-Ks, 10-Qs and 8-Ks; credit agreement basics and drafting tips; basic merger and acquisition agreement drafting pointers and certain contract drafting trends.
