This seminar will focus on fraud prevention, detection and deterrence. Specifically, it will address the role of the corporate and litigation attorney within the context of corporate governance issues that companies face in today's economic and regulatory environment. The speakers have extensive experience in internal controls, due diligence, risk management, litigation consulting and forensic investigations. From the perspective of the corporate attorney, the seminar will examine aspects of effective corporate governance, such as the development of codes of conducts and compliance programs; "best practices" for a company's board of directors and its committees, directors and officers; and compliance with statutory and regulatory requirements, such as the FCPA and SOX. Building on this discussion, the seminar will then address the role of the litigator in assessing potential deficiencies and other issues related to a company's corporate governance structure, and identifying remedial measures that the company can implement to limit its exposure. The seminar will also discuss aspects of an effective internal control system and the benefits of vigilant oversight and monitoring procedures as part of an overall plan by management to prevent and detect fraud or other malfeasance early on.
