Partnerships (including limited liability companies that are treated as partnerships for federal income tax purposes) are the preferred form for many businesses. They offer the greatest flexibility in terms of ownership and control, as well as in allocations and distributions. In this seminar, we will discuss recent developments, including proposed legislation, proposed regulations and other recent guidance, which affect partnerships. Topics include: œ Carried Interests œ Series LLCs œ Cancellations of Indebtedness œ Cross Border Partnerships œ Other ares of current interest.
