Corporate transactions are becoming increasingly more complex making it ever harder for attorneys to navigate the rough waters of executive compensation and employee benefits when companies merge, acquire other companies or divest. At this program the faculty will discuss key issues surrounding executive compensation, including employment contracts, equity, control group issues and 409A. Key issues associated with health and welfare plans and benefits in M&A transactions, such as COBRA compliance and allocation of medical continuation liability, transitioning cafeteria plans, FSAs and other spending accounts, retiree medical obligations and HIPAA compliance will also be addressed. Lastly, the program will provide practical insight regarding qualified plans including, potential funding and termination liabilities in the case of defined benefit plans, withdrawal-liability, funding and successor-liability for collectively bargained multiemployer pension plans, and special issues for 401k plans.
